UK-incorporated holding company. Holds equity in the Zimbabwean operating subsidiary, manages investor relations and offshore hard-currency reserves, and serves as the contracting party with international DFIs.

Zimbabwean operating subsidiary. Owns the Mutoko site, the processing and solar assets, the EPC and offtake contracts, and is the registered employer for plant and outgrower programme staff.
Governance
The project-company board will be chaired by an independent non-executive with sector experience.
Each lead DFI investor is offered an observer seat under standard documentation.
